• Graphic design and brand identity
• ERP development and IT management solutions

All services are delivered based on mutually agreed project scopes, timelines, and commercial terms outlined in separate proposals or contracts.

3. Client Responsibilities

To ensure smooth project execution, clients are expected to:

• Provide accurate, complete, and timely information and content required for the project.
• Respond to our queries and provide approvals within agreed timeframes.
• Ensure that all materials shared with us (logos, images, text, trademarks) do not infringe on third-party rights.
• Make payments as per the agreed schedule.

4. Intellectual Property Rights

Upon full payment, clients receive ownership of the final deliverables created specifically for them (such as website designs, graphics, and custom code), unless otherwise agreed in writing. However:

• Brand Refiners retains the right to use anonymized work samples in our portfolio and marketing materials.
• We retain ownership of our proprietary frameworks, templates, tools, and methodologies.
• Third-party assets (stock images, fonts, plugins, etc.) remain subject to their respective licenses.

5. Payment Terms

Payment terms are outlined in our proposals or contracts. Unless otherwise agreed:

• A non-refundable advance is required to commence work.
• Subsequent payments are due as per project milestones.
• Delayed payments may result in project suspension.

6. Confidentiality

We respect the confidentiality of our clients. Any business, technical, or strategic information shared with us during the course of our engagement will be treated as confidential and will not be disclosed to third parties without your prior written consent, except where required by law.

7. Limitation of Liability

To the maximum extent permitted by law, Brand Refiners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from the use of our services or website.

Our total liability shall not exceed the total fees paid by the client for the specific project in question.

8. Project Timelines & Revisions

Project timelines are estimates and may be affected by client delays in feedback or content submission. We provide a reasonable number of revision rounds as defined in the project proposal. Additional revisions beyond the agreed scope will be charged separately.

9. Termination

Either party may terminate the engagement by providing written notice. In case of termination by the client, all work completed up to the date of termination shall be billed, and any advance payments already made shall not be refunded.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Delhi, India.

11. Changes to These Terms

We reserve the right to update these Terms at any time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
